Terms of service & refund policy

1. Who you are contracting with
These terms govern services provided by Plinth Technologies & Consult, a sole proprietorship registered in Ghana, with its place of business in Accra (digital address GM-045-6434). Referred to below as "Plinth", "we" or "I"; the client is referred to as "you".
2. Scope of work
Every engagement begins with a written scope document setting out the deliverables, milestones, timeline, price and any assumptions. Work starts only after you approve that document in writing (email is sufficient) and any deposit has been received.
Anything not listed in the scope document is out of scope. Additional work is quoted separately as a change request and does not proceed until approved.
3. Fees and payment
Fees are quoted in Ghana cedis (GHS) or United States dollars (USD) and are stated in the scope document. Unless agreed otherwise, a 40% deposit is payable before work begins, with the balance invoiced at agreed milestones.
Invoices are due within 14 days of issue. Overdue invoices may attract interest of 2% per month, and work may be paused on accounts more than 21 days overdue.
Card and mobile money payments are processed by third-party payment providers. We do not store your card details.
4. Your responsibilities
You agree to provide content, access, credentials, approvals and a nominated decision-maker in a timely manner. Where a delay on your side exceeds 15 working days, the timeline may be rescheduled to the next available slot and milestone invoices already earned become payable.
5. Intellectual property
On receipt of full payment, all custom source code, designs and documentation created specifically for you under the engagement transfer to you.
Pre-existing tools, libraries and internal utilities used to deliver the work remain the property of Plinth, and you receive a perpetual, non-exclusive licence to use them as part of the delivered system. Third-party open-source components remain subject to their own licences.
6. Warranty and support
Delivered work carries a 30-day defect warranty from the date of acceptance. Within that period, defects in the delivered functionality are corrected at no charge.
The warranty does not cover new features, changes to requirements, faults caused by third-party services, or modifications made by you or another party. Ongoing support and maintenance can be arranged under a separate agreement.
7. Refund policy
Deposits are refundable in full if you cancel in writing before work begins.
Once work has begun, refunds are calculated against work completed at the date of cancellation. Any portion of a deposit or milestone payment covering work not yet performed is refunded within 14 business days.
Work already delivered and accepted is not refundable. Milestone payments for accepted deliverables are final.
If Plinth fails to deliver a scoped milestone within 30 days of its agreed date for reasons within our control, and the delay is not remedied after written notice, you may cancel and receive a refund of all amounts paid for undelivered work.
Refunds are issued to the original payment method. Payment-processor fees, where non-recoverable, may be deducted.
8. Confidentiality
Both parties keep confidential any non-public business, technical or personal information received from the other, and use it only to perform the engagement. This obligation continues for three years after the engagement ends. A mutual NDA can be signed on request.
9. Limitation of liability
To the extent permitted by Ghanaian law, total liability under an engagement is limited to the total fees paid by you for that engagement. Neither party is liable for indirect or consequential loss, including loss of profit, revenue or data.
Nothing in these terms limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.
10. Cancellation and suspension
Either party may terminate an engagement on 14 days' written notice. On termination you pay for all work completed to that date, and receive the deliverables produced so far.
Work may be suspended for non-payment, unlawful use of the delivered system, or abusive conduct toward the provider.
11. Governing law
These terms are governed by the laws of the Republic of Ghana. Disputes are subject to the exclusive jurisdiction of the courts of Ghana, after a good-faith attempt to resolve the matter directly within 30 days.
12. Changes to these terms
These terms may be updated from time to time. The version in force for your engagement is the version published on the date your scope document is approved.
